You are agreeing to a non-exclusive and revocable limited right and permission to use a portion of the Lab at Salon Republic at 6370 Sunset Boulevard, Hollywood CA 90028 and 21250 Hawthorne Blvd, Ste 170 Torrance, CA 90503 for a workstation as (set forth below) to conduct, as an independent contractor, a cosmetology service or other beauty related service subject to the terms and conditions contained herein.

You will have access to a workstation, certain salon equipment and certain common areas. You shall set your own working hours (within specified open hours of The Lab) and service fees, furnish your own supplies (except for back-bar product that is provided by Salon Republic), and implement your own advertising if so desired.

Any advertising may include the name “The Lab at Salon Republic” or “Salon Republic”; subject to such terms and conditions as Salon Republic shall determine, in our sole discretion.

You have the right to display and sell only beauty products, services, or supplies. You shall not display or sell from the workstation any other products or services unless you obtain our prior written consent, which we may give or withhold in our sole discretion.

You shall be responsible to repair damage to salon equipment or plumbing and electrical fixtures that are damaged as a result of acts or omissions other than ordinary wear and tear.  It is agreed that all holes, tears, burns or stains of any size or amount in the flooring, furniture, blinds, walls and/or fixtures do not constitute reasonable wear and tear.

A per day fee of $100 will be paid for each workstation to be used, prior to gaining access to and working at the workstation.

Cancellations:

Any cancellations greater than 14 calendar days to the day of your scheduled chair rental will be refunded in full, less a $5 administration fee.  Cancellation refunds will be refunded by check.

Any cancellations between 7 to 13 calendar days of the day of your scheduled chair rental will be refunded in full, less a $25 cancellation fee. Cancellation refunds will be refunded by check.

We will not issue any refunds for cancellations within 7 days of the day of your scheduled chair rental or if you fail to provide the proper licenses or permits to work in the Lab at Salon Republic.

You certify that you have maintained and will maintain in good standing all personal permits or licenses required by law or otherwise for the conduct of its business on the Premises, including, but not limited to, a cosmetology and other appropriate license from the state and county, and/or political subdivision thereof, in which the salon is located and a business license from any municipality authorizing him/her to contract with and perform cosmetology services for his/her clientele and (ii) has complied and will comply with all other applicable laws, ordinances and regulations. These Licenses/Permits will be displayed in a conspicuous area at the designated workstation at all times. You agree to comply with all government regulations of, including but not limited to, the city, county, state, and federal laws.

You shall not sub-lease or sub-rent the use of any portion of his or her workstation or common area.

You are allowed one assistant per workstation, provided that, they must be controlled and supervised by you and none of said agents, employees, or subcontractors shall be, or deemed to be, for any purpose whatsoever, the agent, employee, or subcontractor of Salon Republic. Your assistant shall be bound by and must follow the Salon Republic’s rules and regulations, as they may be amended from time to time. Such assistant must also have the appropriate licenses and permits as required by applicable laws, ordinances, and regulations in the jurisdiction they are performing services.

Neither Landlord nor Salon Republic shall be liable to you or your employees, patrons or visitors for any injuries or damage incurred by any act, omission or neglect of you or your agents, assistant’s, or other contractors in question or other licensees, including injuries or damage caused in whole or in part, by your negligence of or your employees, patrons or visitors, and you shall indemnify Landlord and Salon Republic for any such injuries, damages, claims or demands made against Landlord or Salon Republic. Neither Landlord nor Salon Republic shall be liable to you or your employees, patrons or visitors for any damage to or loss of any personal property contained within their workstation.

You acknowledge and agree that it shall be solely your responsibility for payment of all federal, state, and local income, payroll, unemployment, state disability, and Social Security taxes, or the withholding thereof, relating to the conduct of business by you) or by any agent, employee, or subcontractor of yours), and shall be solely responsible for payment of any and all other taxes (including without limitation applicable sales and personal property taxes), deductions, or withholding that may be required by law relating to the conduct of your business on the Premises. You further acknowledge and agrees to comply with all federal, state, and local governmental laws, rules, and regulations relating to payment or withholding of such monies or taxes.

You acknowledge and agree that you are not an employee of Salon Republic but are an independent contractor who, subject to the terms hereof, shall have sole control of the manner and means of performing his/her obligations under this Agreement.

During the term of this Agreement and thereafter, you will not do or permit any act which would disparage or bring harm to the name, reputation, and goodwill of Salon Republic, its employees, operations or its shareholders and officers.

You agree to comply with the operating rules and regulations promulgated by Licensor as amended or supplemented from time to time (the “Property Rules”).

During the term of this Agreement, you will have access to confidential and proprietary information of the Salon Republic (the “Confidential Information”). You agree, during the term of this Agreement and thereafter, to maintain at all times the confidential nature of the Confidential Information and refrain from, in any way, disclosing or using the Confidential Information without Salon Republic’s prior written authorization.

You agree that you will not (a) request, induce or attempt to influence, directly or indirectly, any employee, tenant or other licensee of Salon Republic to terminate any contracted relationship with the Salon Republic either for Licensee’s own account or for any other entity or (b) employ or enter into any contracted relationship with any person who as of the date hereof was, or after such date had a contracted relationship with Salon Republic.  Licensee(s) further agrees not to allow any individual or entity with which he or she is in any way affiliated to take any action related to (a) or (b) above.

You acknowledge and agree that it is not intended by this Agreement to create, nor shall there be by virtue of anything contained in this Agreement, any employer-employee or any landlord-tenant relationship between Salon Republic and you.  You acknowledge and agree that this Agreement is subordinate to the Landlord’s lease.

Salon Republic may terminate this Agreement immediately for cause. Such cause may include, but is not limited to, your failure to comply with the Rules or with any of the terms or conditions of this Agreement; Your performance of negative conduct or behavior which adversely affects the professional atmosphere and reputation of the Salon or Salon Republic’s licensees; or Your failure to obtain or maintain in good standing any salon permit or license required by the state in which the Salon is located. Upon termination of this Agreement, neither party shall have any obligation to perform any acts under this Agreement except, as specified in paragraphs 18 and 19, and that the you shall not be relieved of its responsibility to and must promptly pay all monies due under this Agreement with respect to periods up to and including the date of termination.

The provisions set forth in Paragraphs 13 and 14 shall survive the termination of this Agreement.

Each party expressly acknowledges and agrees that this Agreement is the final, complete and exclusive statement of the agreement of the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous agreements.

No waiver of any breach of any agreement or provision herein contained shall be deemed a waiver of any preceding or succeeding breach thereof.

If any term of this Agreement shall be determined to be invalid or unenforceable, then the performance of such term shall be excused as if it had never been incorporated into this Agreement and the remaining part of this Agreement shall not be affected thereby and shall continue in full force and effect.

This Agreement and the rights and remedies of each party arising out of or relating to this Agreement shall be solely governed in accordance with the laws of the state in which the salon resides.

All disputes, controversies, or differences which may arise between the parties, out of or in relation to or in connection with this Agreement, or for the breach thereof, which cannot be resolved between or among the parties shall be finally settled by binding arbitration by the American Arbitration Association, provided however, that the parties hereto reserve their rights to seek and obtain injunctive or other equitable relief from a court of competent jurisdiction, without waiving the right to compel such arbitration.

Each party shall have the right to sell, assign, transfer, encumber or pledge either in part or in its entirety, this Agreement, without the consent of the other party.
